The Management Board ensures the observance of legal requirements and internal corporate guidelines, working to achieve compliance throughout the Group. Evotec’s corporate culture is committed to the highest standards of openness, integrity and accountability. Compliance is a key element of integrity, which means adherence to applicable laws and the Company’s internal policies.

Code of Ethics and Business Conduct

Evotec’s commitment to a compliance-oriented culture is reflected in the Company’s Code of Conduct, which stipulates fundamental ethical principles that apply to board members and other employees alike, such as integrity and professionalism.

The Code of Conduct mainly sets standards for:

Reporting Compliance Concerns

The Evotec Group provides employees and external stakeholders with EVOwhistle as a channel to report violations of Evotec´s Code of Conduct, specific indications of unlawful behavior or other compliance violations related to Evotec´s business activities. EVOwhistle is Evotec Group´s dedicated and secure website hosted outside the Evotec Group´s network. Rules of Procedure for the Grievance Procedure Pursuant to Section 8 of the German Supply Chain Due Diligence Act (LKSG)

Complaints or information can also be submitted to humanrights@evotec.com in accordance with Section 8 of the German Supply Chain Due Diligence Act (Lieferkettensorgfaltspflichtengesetz – LkSG).

With this grievance channel (humanrights@evotec.com), Evotec enables individuals to report risks for human rights or the environment as well as violations of human rights or environmental obligations (pursuant to Section 2 (2) and (3) LkSG) that have arisen as a result of Evotec's business activities in its own business area or those of a direct supplier.

All reports will be investigated independently and impartially by the responsible Evotec employees. The reporter will receive confirmation of receipt within seven days. After a plausibility check of the reported facts by the responsible Evotec employees, these facts are either accepted for further clarification or the case will be closed due to the lack of application of the LkSG. If the reporter agrees and if there is a possibility of contact, the reporter will be involved to discuss the facts and further information may be requested if necessary. If human rights and/or environmental violations are imminent or have already occurred, appropriate remedial measures are initiated. In addition, it is then examined whether further preventive measures need to be discussed with relevant stakeholders to minimize similar risks.

All disclosures are treated confidentially according to the need-to-know principle and personal data is processed in accordance with applicable data protection laws.

Evotec will protect the reporter from retaliation or punishment for providing the report. Reports should be made in good faith. This means that the facts should be truthfully described, and the reporter should exercise due diligence to ensure the accuracy of the information.

Any form of retaliation is a violation of the Evotec Group Code of Conduct and may result in disciplinary action. An individual who experiences any form of retaliation or has good reason to believe or fear retaliation may contact the Evotec Compliance Team directly via EVOwhistle.

If an individual deliberately makes false or malicious allegations or deliberately manipulates or withholds facts or evidence ("malicious reporting"), appropriate disciplinary action will be taken.
